Toastworthy policies
Terms of Use
These Terms and Conditions explain the rules for using Toastworthy and purchasing a wedding speech.
1. Acceptance
These Terms and Conditions (the “Terms”) are an agreement between you and Toastworthy, an AMQ company, operated by AMQ Holdings LLC, a Wyoming limited liability company. They apply when you visit or use the Toastworthy website, enter information into a speech creation flow, view a preview, purchase an unlock, use a rewrite, or otherwise interact with the service. By using the site or purchasing a speech, you confirm that you have read and agree to these Terms. If you do not agree, do not use the site or purchase the service.
You must be at least 18 years old and able to enter into a binding agreement to use Toastworthy or make a purchase. By continuing, you represent that you meet those requirements. If you use Toastworthy on behalf of another person or organization, you confirm that you are authorized to accept these Terms for that person or organization; references to “you” then include both you and the represented party. The person who enters information and places an order remains responsible for the accuracy and permission status of that information.
These Terms are presented before or during your use of the relevant parts of the service. A purchase is also subject to the amount and description shown in checkout. Where these Terms and a checkout screen conflict about the price of a particular purchase, the amount displayed and accepted in that checkout controls that transaction. No other statement changes these Terms unless it is made in a written update issued by Toastworthy under Section 19.
2. Definitions
“Toastworthy,” “we,” “us,” and “our” mean Toastworthy and its operator, AMQ Holdings LLC. “Site” means the Toastworthy website and its pages, forms, and related interfaces. “Service” means the tools that collect your wedding details, draft a speech using artificial intelligence, show an opening preview, accept a one-time payment to unlock a full speech, and provide the included rewrite functionality, together with related support and delivery features that we make available.
“You” and “customer” mean the individual or organization using the Site or Service. “Submission” means the information, directions, names, stories, relationship details, preferences, and other material you choose to provide to create or revise a speech. “Speech” means the AI-drafted wedding speech or toast produced from a Submission, including its free opening preview and any full version or rewrite. “Finished Speech” means the version you choose to keep, copy, download, deliver, or otherwise use. “Third-party services” means products or infrastructure operated by companies other than Toastworthy, such as payment processing, AI processing, email delivery, and hosting.
Headings are included to help you find a topic and do not change the meaning of the Terms. Words such as “including” mean “including without limitation.” A reference to a law or rule includes a replacement or amendment that applies to the same subject. If a word is defined in one section, that definition applies throughout these Terms unless the context clearly requires otherwise.
3. The Service
Toastworthy helps you create a wedding speech from details you provide about the people, event, relationship, memories, tone, and other requested context. We use an AI system to draft a speech from that input. The service is designed to help you get started and develop a personal toast; it does not replace your own judgment, knowledge of the people involved, or responsibility for what you say at an event.
You may read the opening portion of the draft for free before paying. A one-time payment of $7 USD unlocks the full speech associated with that order. The offer includes exactly two guided rewrites of the unlocked speech. A rewrite is a new AI-generated version produced in response to a direction you provide through the rewrite feature. The two rewrites are available for that purchased speech and are not a recurring subscription, transferable credit, cash value, or promise that a particular revision will meet your preferences.
The Service may show progress, a preview, or a payment status while it prepares or verifies a result. A full speech becomes available only after the payment processor confirms the purchase and Toastworthy receives the necessary status. You are responsible for keeping the link or other access information associated with your speech reasonably secure. Anyone who can use a shared speech link may be able to view the speech, so do not share that link with someone who should not see it.
Toastworthy may refine the questions, prompts, layout, delivery methods, and supporting features over time. The precise wording of a prompt or the order of questions is not a separate deliverable. We do not promise that every feature will be available at every moment or on every device, and Section 12 explains our rights concerning changes to the Service.
4. License and acceptable use
Subject to these Terms, Toastworthy gives you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Site for your own personal, non-commercial purposes. You may use the Site to prepare a wedding speech for an event, review the free opening, purchase the full speech, and use its included rewrites. This license does not give you ownership of the Site or any part of its underlying technology. You may not use the Site as a service bureau or operate it for the benefit of unrelated third parties without our written permission.
You may not scrape, crawl, harvest, copy at scale, or systematically collect content or data from the Site. You may not reverse engineer, decompile, disassemble, probe, or try to discover source code, model instructions, system prompts, or non-public interfaces, except to the extent a restriction is prohibited by applicable law. You may not resell, sublicense, rent, lease, or commercially exploit the Site, access to the Service, or its templates. You may not use a bot, script, headless browser, or other automated access method to create accounts, submit prompts, obtain content, or interact with the Service without our express written permission.
You must not use the Site to violate a law or another person’s rights, to create or distribute unlawful or hateful content, or to threaten, harass, defame, exploit, or target another person. Do not submit another person’s private, sensitive, or identifying information or share another person’s private information without their permission. Do not impersonate someone, misrepresent your authority, interfere with the Service, evade a payment or access control, introduce malicious code, or attempt to access another customer’s speech or account.
You may not use a Finished Speech in a way that violates law or the rights of another person. Do not rely on Toastworthy to verify whether a claim, anecdote, joke, quotation, or personal detail is true or appropriate. We may restrict or end access when we reasonably believe use violates this section, threatens the security or availability of the Service, or exposes a person to harm. Restrictions do not transfer ownership of a Finished Speech you already own under Section 10.
5. Payments, taxes, and pricing
The current offer described by Toastworthy is a single $7 USD payment for one full wedding speech, with two guided rewrites included. It is a one-time charge, not a subscription, membership, installment plan, or automatic renewal. The checkout screen will show the amount to be charged before you confirm payment. Do not submit the payment if the displayed amount or purchase description is not what you intend to accept.
Applicable sales, use, value-added, or similar taxes may be collected in addition to the stated price or reflected in the checkout total, as required by the place of purchase and the payment flow. The checkout total is the amount submitted to the payment processor. You are responsible for taxes that the processor or Toastworthy is not required to collect from you. If a tax amount is shown, review it before confirming the transaction.
Payments are processed by Stripe, a third-party payment provider. When you enter payment information, you also interact with Stripe under the terms and privacy practices that apply to its service. Toastworthy does not receive or store your full card number through the Service. The processor may use its own security, authorization, fraud-prevention, and payment methods to determine whether to accept a transaction.
A payment may fail, be declined, require additional verification, or remain pending. A failed or unconfirmed payment does not unlock the full speech. If a charge appears on your statement but the speech remains locked, first check whether the processor marks the transaction as pending, then contact us using Section 7 so we can review the order. Do not repeatedly submit a payment while an earlier attempt is still pending unless the checkout tells you it is safe to do so.
We may change the price or terms of future offers at any time. A price change does not alter an already completed one-time transaction. The price displayed in checkout before you confirm a new purchase is the price offered for that transaction. Promotional prices or offers, if any, apply only as described when shown and do not create a right to the same price for a later purchase.
6. All sales final
A purchase is final and non-refundable once the full speech is unlocked. Before paying, you can read the opening portion of the speech and decide whether you want to continue. The $7 one-time purchase unlocks the full speech and includes two guided rewrites. These features are available before and after the purchase, respectively, so the paid product is delivered digitally and is available for immediate use once payment is confirmed.
By choosing to unlock the full speech, you ask us to provide that digital content and the included rewrite functionality. The ability to view, copy, download, or use the speech after unlocking means we cannot reliably take back the delivered content. For that reason, we do not provide a refund, credit, or cancellation after the full speech has been unlocked merely because you changed your mind, did not use the speech, prefer a different draft, or did not use both rewrites.
This section describes Toastworthy’s purchase policy and does not limit a right that cannot lawfully be limited. If you believe a payment was duplicated, unauthorized, or charged for a speech that never unlocked, contact Toastworthy at the address in Section 7 before opening a payment dispute. We will review the transaction information that is available to us and respond within a reasonable time.
7. Chargebacks and payment disputes
If you have a question or problem about a charge, first contact Toastworthy at toastworthy@polsia.app. Include the email address used at checkout, the speech link or order reference if you have it, the date and amount of the charge, and a short explanation of what happened. Do not send a full card number, security code, password, or other payment credential by email.
Give us a reasonable time to review the issue and respond before initiating a chargeback or other payment reversal. A chargeback or payment dispute initiated without first contacting Toastworthy and allowing a reasonable opportunity for us to address the concern is a breach of these Terms. Contacting us first does not require you to wait beyond a reasonable period, give up a non-waivable right, or refrain from using a dispute process that applicable law requires to remain available.
Toastworthy may provide the payment processor or the financial institution with relevant transaction and fulfillment records and contest a chargeback or other payment dispute when appropriate. We may suspend access to the affected speech while a payment is reversed, disputed, or being reviewed, and may limit future purchases where reasonably necessary to protect the Service or address suspected misuse. If a dispute is resolved in your favor or the payment is confirmed as valid, we will restore access when reasonably practicable, subject to technical availability.
Do not use a chargeback as a way to obtain a paid speech without paying for it. A temporary access suspension is a measure concerning the disputed transaction; it does not decide whether a bank, card issuer, or payment network will accept a claim. We may communicate with those organizations as part of the dispute process, and you agree to provide accurate information if we ask for details needed to locate the transaction.
8. AI-generated content
Toastworthy uses artificial intelligence to create and revise speech drafts. AI output is probabilistic and can be inaccurate, incomplete, awkward, insensitive, misleading, or inconsistent with your instructions. It may invent or misstate a detail, misunderstand a relationship, miss humor or nuance, or include language that does not sound like you. A polished tone does not mean that a statement has been checked or verified.
AI-generated speech may not be unique or original in the sense of being the only text that could be produced from similar instructions. Other people may receive content that is identical or similar in wording, structure, ideas, or examples. Toastworthy does not promise that a Speech will be original, free of similarity to existing or future output, suitable for a particular legal or professional purpose, or eligible for any particular copyright treatment.
We make no guarantee about the quality, accuracy, completeness, originality, usefulness, suitability, impact, or result of any Speech. We do not guarantee that an audience will laugh, feel moved, respond positively, or receive a speech in a particular way. Audience reactions depend on the people, event, delivery, circumstances, and many factors outside Toastworthy’s control.
You are solely responsible for reviewing a Speech before you use it and for deciding whether to edit, remove, fact-check, or deliver any part of it. Verify all names, dates, memories, family details, claims, quotations, and sensitive references yourself. Make sure the speech respects the people involved and fits the event. You are responsible for the content you choose to copy, download, share, publish, or say aloud, including any consequences of that use.
9. User submissions and processing license
You retain your rights in the Submissions you provide. You give Toastworthy a limited, non-exclusive permission to receive, host, transmit, format, and process those Submissions only as needed to provide the Service to you: to create the requested draft, display its preview and full version, produce the included rewrites, deliver your speech, and provide support for that transaction. This permission is limited to those service purposes and does not transfer ownership of your Submissions to Toastworthy.
You represent that you have the rights and permissions needed to submit the material and grant the limited permission described above. You are responsible for obtaining consent before providing another person’s private information, story, image, or other protected material. Do not include information that is unnecessary to create the speech, and do not submit another person’s sensitive information without permission.
We handle Submissions and related information under our Privacy Policy, which explains the information the Service collects, how it is used, and how long it may be retained. The policy also describes the role of service providers that process information for Toastworthy. Review it before submitting information. If these Terms and the Privacy Policy address different subjects, each applies to its stated subject; the Privacy Policy governs our privacy practices and the handling of personal information.
You may ask us about a Submission using the contact information in Section 21. Deleting or removing a Submission may affect the ability to retrieve or revise its Speech. A request will be handled under the Privacy Policy and applicable requirements. We do not promise that information can be recalled from a third-party system after it has been transmitted as necessary to provide the Service.
10. Ownership
As between you and Toastworthy, you own the Finished Speech created for you after it is unlocked, subject to rights that may apply to third-party material or underlying AI systems. You may copy, edit, download, publish, deliver, and use your Finished Speech for any lawful purpose. You are responsible for choosing how to use it and for checking that your use is appropriate. Toastworthy does not claim ownership of your personal Submission or Finished Speech.
Toastworthy and its licensors retain all rights in the Site and Service, including the Toastworthy name and brand, logos, design, software, source code, interface, prompts, processes, templates, graphics, and materials we provide other than your Finished Speech. These Terms do not grant you a right to copy, modify, publish, distribute, sell, or create derivative works from those materials except for ordinary use of the Service as expressly allowed here.
If you send us a suggestion or feedback about the Service, you allow us to use it to improve or operate the Service without payment or obligation to you. Feedback does not include a Submission or the substance of a Finished Speech. Your limited permission to provide feedback does not give us an additional license to use your personal stories or speech content beyond the purposes in Section 9.
Third-party materials remain subject to the rights of their respective owners. A reference to a third-party name or service does not mean that its owner endorses Toastworthy. Nothing in these Terms limits rights you have in your own content or grants rights in any material that belongs to someone else.
11. Third-party services
The Service depends on third-party providers. Stripe processes payments. AI providers support the generation and rewriting of speech drafts. Hosting and infrastructure providers make the Site and stored information available. We may also use email or delivery providers to send a receipt or speech copy. These providers operate their own systems and may have separate terms, privacy notices, security practices, and availability conditions.
When you use a feature that connects with a third-party service, the relevant provider may receive information needed to perform that function, such as a payment amount, transaction reference, speech Submission, or email address. We choose providers and configure them for the relevant function, but Toastworthy does not own or control their independent systems. The Privacy Policy describes the handling of information in more detail.
Your use of Stripe, a hosting service, or another provider may be governed by terms directly between you and that provider. You are responsible for reviewing those terms where applicable. Toastworthy is not responsible for an independent third party’s acts or omissions, security practices, service interruptions, or decisions, except to the extent applicable law does not permit that responsibility to be excluded.
We may replace or update a provider when needed to maintain or improve the Service. A provider change does not expand the processing license in Section 9. If a provider is unavailable, a connected feature may be delayed or temporarily unavailable, and we may need to pause the affected function while the issue is addressed.
12. Availability, changes, and termination
We aim to keep Toastworthy useful and available, but the Service may be interrupted for maintenance, updates, capacity limits, security responses, provider outages, network conditions, or events outside our control. We may fix errors, change questions, adjust a feature, add or remove functionality, or temporarily limit access. We do not promise continuous, uninterrupted, error-free, or universally compatible operation.
We may modify, suspend, or discontinue all or part of the Service when reasonably necessary to operate or protect it, comply with law, address a security or abuse concern, respond to a provider change, or improve the experience. Where practical, we will try to avoid disrupting a purchase already in progress and will make reasonable efforts to communicate a material planned change that affects existing access. We are not required to keep a particular feature or interface available indefinitely.
You may stop using the Service at any time. We may suspend or terminate your access if you materially violate these Terms, create a security risk, misuse payment or access systems, infringe another person’s rights, or use the Service in a way that could harm someone or materially interfere with the Service. Where appropriate, we may first give you an opportunity to correct the issue. We may act immediately when needed to address urgent risk or legal obligations.
Ending access does not undo a completed purchase or remove the provisions that by their nature should continue, including ownership, payment dispute, warranty, liability, indemnity, dispute resolution, claim deadline, and general terms. Access to a stored speech may depend on the Service remaining available. You should save a copy of a Finished Speech you want to keep, where the Service provides a copy or download option.
13. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND SERVICE, INCLUDING ALL SPEECHES, PREVIEWS, REWRITES, AND RELATED MATERIALS, ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TOASTWORTHY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE.
We do not warrant that the Site will be available at a particular time, that the Service will be secure or free of errors, that defects will be corrected, or that any Speech will be accurate, complete, original, suitable, or acceptable to you or an audience. We do not warrant that a provider will always operate without interruption or that a stored link, feature, or file will remain available for a particular period.
You use the Service at your own discretion and risk. A preview or generated draft is not a verified account of events and should not be treated as a substitute for your review. Any advice, examples, or suggestions in the Service are provided as part of a writing tool, not as a guarantee that the speech is appropriate for a particular person, event, culture, or audience. If applicable law does not allow a particular disclaimer, that disclaimer applies only to the extent permitted.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOASTWORTHY AND AMQ HOLDINGS LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, BUSINESS OPPORTUNITY, OR EXPECTED SAVINGS, ARISING OUT OF OR RELATED TO THE SITE, SERVICE, A SPEECH, THESE TERMS, OR YOUR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN TOLD THAT SUCH DAMAGE COULD OCCUR.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF TOASTWORTHY AND AMQ HOLDINGS LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO A PARTICULAR SPEECH, PURCHASE, OR SERVICE EVENT WILL NOT EXCEED THE AMOUNT YOU PAID TO UNLOCK THE SPEECH AT ISSUE. If you paid nothing for that speech, the cap is zero. The cap applies regardless of the legal theory and whether a claim is based on contract, tort, statute, or another basis, and it applies to all related claims in the aggregate.
The limits in this section apply to the fullest extent law allows. They do not exclude liability that cannot legally be excluded or limited, including liability that a court determines cannot be limited under a mandatory consumer protection rule. If a remedy fails of its essential purpose, the remaining lawful limitations continue to apply. Some jurisdictions do not permit certain exclusions or caps, so part of this section may not apply to you.
15. Customer indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Toastworthy and AMQ Holdings LLC, together with their officers, employees, and agents, from third-party claims, losses, liabilities, judgments, costs, and reasonable expenses (including reasonable legal fees) arising from your Submission, your Finished Speech as you choose to use it, your violation of another person’s rights, or your misuse of the Site or Service.
This obligation applies when your actions or materials cause a claim that Toastworthy used a Submission beyond the limited permission you granted, that you lacked permission to share another person’s private or protected information, or that you used the Site to create unlawful or harmful material. It also applies to claims arising from your attempt to bypass payment, security, or access controls, or from an automated or commercial use that these Terms prohibit.
We will give you reasonable notice of a claim for which we seek indemnity, provided that a delay does not release you from the obligation except to the extent the delay materially harms your ability to respond. We may participate in the defense with counsel of our choice at our own expense. You may not settle a claim in a way that admits fault by, imposes an obligation on, or restricts the rights of Toastworthy or AMQ Holdings LLC without our prior written consent.
This section does not require you to indemnify us for a claim caused by our own conduct to the extent applicable law prohibits shifting that responsibility to you. It is limited to claims connected to your content, actions, or misuse and does not create a duty to defend claims that are unrelated to them.
16. Dispute resolution and arbitration
We want to resolve concerns informally first. Before starting arbitration or filing a court claim, you and Toastworthy agree to send the other a written notice describing the issue and the relief requested, and to make a reasonable effort to resolve it. You may send your notice to the contact email in Section 21. We will use the email address or other contact information associated with your purchase when responding. The parties will allow at least 30 days after a notice is received for an informal discussion, unless both agree to a different period or urgent relief is reasonably necessary.
If the dispute is not resolved informally, you and Toastworthy agree that it will be resolved by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under the AAA Consumer Arbitration Rules and any applicable consumer procedures in effect when the claim is filed. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. The arbitrator, rather than a court, will decide disputes about the meaning, application, or enforceability of this arbitration agreement, except that a court may decide a dispute about the class-action waiver or whether a claim belongs in small-claims court where the law assigns that issue to the court.
Arbitration will be conducted on an individual basis. YOU AND TOASTWORTHY WAIVE THE RIGHT TO HAVE A DISPUTE HEARD AS A CLASS ACTION, CLASS ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent needed to resolve that party’s individual claim. The arbitrator may not combine claims of different people or preside over a representative or class proceeding. To the fullest extent permitted by law, YOU AND TOASTWORTHY ALSO WAIVE THE RIGHT TO A JURY TRIAL for disputes subject to arbitration.
Either party may bring an eligible individual claim in small-claims court instead of arbitration, so long as the claim remains in that court and proceeds only on an individual basis. If a small-claims court determines that a claim is outside its jurisdiction, the claim will proceed in arbitration under this section. A request for public injunctive relief that cannot lawfully be decided by an arbitrator may be brought in a court with jurisdiction, but any individual damages claim remains subject to arbitration to the extent the law permits.
You may opt out of this arbitration agreement by emailing toastworthy@polsia.app within 30 days after the date you first accept these Terms. Your email must state that you are opting out of arbitration and include your name and the email address used with Toastworthy. An opt-out is effective only for the person who sends it and does not opt out another user. If you opt out, the rest of these Terms still apply, and disputes will be handled in court as provided in Section 18, subject to any non-waivable law.
The AAA rules govern case procedures and allocation of applicable fees. If the AAA is unavailable or will not administer a proceeding under this section, the parties will select another arbitration provider that can administer an individual consumer arbitration under procedures consistent with this section. If they cannot agree on a replacement, a court with jurisdiction may appoint one. Nothing here prevents either party from seeking temporary relief in court to protect rights while an arbitration is pending, where the law permits.
17. Time limit for claims
To the extent permitted by applicable law, you and Toastworthy must bring any claim or cause of action arising out of or related to these Terms, the Site, the Service, a Submission, a Finished Speech, or a purchase within one year after the claim first arose. A claim not brought within that one-year period is permanently barred to the extent the law allows it to be barred.
For this section, a claim generally arises when the event giving rise to it occurs or, if the event could not reasonably be discovered at that time, when it was or reasonably should have been discovered. This section applies to claims pursued in arbitration or court and is separate from any time period that a payment provider may apply to a payment-dispute process.
The one-year period does not shorten a deadline that applicable law makes non-waivable. If a court or arbitrator finds that a particular claim cannot legally be subject to this period, that claim will be governed by the otherwise applicable deadline, while the one-year period will remain in effect for claims to which it may lawfully apply.
18. Governing law and venue
Wyoming law governs these Terms and any dispute arising out of or relating to the Site or Service, without regard to conflict-of-law rules that would require the application of another jurisdiction’s law. The Federal Arbitration Act governs the arbitration agreement in Section 16. This choice of law does not eliminate a consumer protection right that applicable law makes mandatory and non-waivable.
If a dispute is not subject to arbitration, including because you made a timely opt-out or because a court determines that the claim may proceed in court, you and Toastworthy agree to bring it in the state or federal courts located in Wyoming, subject to any mandatory rule that gives a consumer the right to bring a claim in another venue. You consent to the personal jurisdiction of those courts for a permitted court proceeding.
The informal resolution process in Section 16 applies before a court case to the extent the law permits. Either party may ask a court with authority for temporary relief needed to protect its rights or property while a dispute is being resolved. Seeking that temporary relief does not waive the right to require arbitration of the underlying individual dispute.
19. Changes to these Terms
We may update these Terms to reflect a change to the Service, a business practice, a provider, a legal requirement, or another operational need. When we make a change, we will post the revised Terms on the Site and update the “Last updated” date. A revised version applies from the date stated in that version unless a later effective date is specified. Your continued use of the Site after the effective date means you accept the revised Terms.
A change will not retroactively alter a completed purchase or a claim that already arose unless the law permits and the change expressly says so. If a change materially affects an ongoing feature, we may provide additional notice through the Site or the contact information associated with your use. If you do not agree to a revised version, stop using the Service. A later purchase or continued use after notice is subject to the version then posted.
The effective date and last updated date shown with these Terms identify the version currently published. We may retain earlier versions for recordkeeping. A prior version does not control a new use or purchase after a replacement version takes effect, except where applicable law or an express written agreement requires otherwise.
20. General terms
If a provision of these Terms is found invalid, unlawful, or unenforceable, it will be narrowed only as much as needed to make it enforceable where possible. If it cannot be narrowed, it will be removed, and the remaining provisions will continue in effect. A finding that one provision is invalid does not invalidate the rest of the Terms.
These Terms and the Privacy Policy, together with the checkout details for a purchase, form the entire agreement between you and Toastworthy about the Site and Service. They replace prior discussions and understandings about those subjects. The Privacy Policy controls the description of our privacy practices; these Terms control use of the Site, the Service, and purchases. No informal support message changes these Terms.
If Toastworthy does not enforce a provision immediately, that does not waive the right to enforce it later. A waiver must be in writing and applies only to the specific instance stated. You may not assign or transfer these Terms, your access, or a right under them without our written consent. We may assign these Terms as part of a merger, reorganization, sale of assets, or transfer of the business that operates Toastworthy, provided the assignment does not remove a right that applicable law makes non-waivable.
Neither party is responsible for a delay or failure to perform caused by an event beyond its reasonable control, such as a natural disaster, emergency, war, civil disturbance, labor disruption, interruption of utilities or communications, widespread network failure, government action, or a third-party provider outage. The affected party will use reasonable efforts to resume performance when practicable. This provision does not excuse a payment obligation that already became due.
Notices to Toastworthy must be sent to the email address in Section 21. We may send notices to the email address you provide or post them in the Service. A notice sent by email is treated as received when it is sent, unless the sender receives an automated failure message. You are responsible for keeping your contact information current and checking notices related to a purchase. Electronic records and communications may be used to document your acceptance and transactions.
Sections that by their nature should continue after access ends will survive, including provisions about payment, ownership, disclaimers, liability, indemnification, dispute resolution, claim deadlines, and general interpretation. Nothing in these Terms creates a partnership, employment, agency, fiduciary, or joint-venture relationship between you and Toastworthy. You and Toastworthy are independent parties.
